Dexter is the President and Chief Executive Officer of Gryphon. Dexter is responsible for the North American business where he leads a team of experienced governance and financial professionals.
With over 25 years of experience in capital markets, Dexter has a strong knowledge of corporate law and a thorough understanding of financial markets. From his work at a major Canadian law firm as a Securities Associate to his tenure at the Investment Dealers Association, Ontario Securities Commission and the Toronto Stock Exchange, Dexter has a strong public equities market background as well as significant regulatory experience.
Prior to joining Gryphon, Dexter held the Executive Vice President position at a D.F. King Canada. Having worked on a number of Canada’s largest M&A transactions as well as proxy fights, Dexter has a strong background in corporate governance.
Dexter holds the ICD.D designation and is currently a director of Organigram Inc. and Prosper Gold Corp. and recently was a Chairman of the board and board member of Partners Real Estate Investment Trust.
Dexter received his law degree from Queen’s University and holds a Mathematics for Commerce degree from York University.
Susy is the Executive Vice President at Gryphon with approximately 30 years of experience in the financial services industry. Susy is one of the first Canadian proxy solicitation experts in Canada, she is a “pioneer” who helped develop and build a fledging proxy solicitation industry that is now an integral part of the Canadian capital markets and has held several senior positions throughout her career.
Susy has participated in a majority of Canada’s major M&A mandates, leading and overseeing the operational procedures while structuring mergers and acquisitions and proxy programs to achieve client objectives and goals. Susy is highly respected in the Canadian legal community for her involvement and noteworthy success for many of Canada’s high-profile friendly and hostile transactions.
Susy also has extensive knowledge of security processing, proxy tabulation and depository services and is called upon frequently for her market insight and reputable expertise. Having been requested by the Canadian Securities Administrators to participate in industry discussions on addressing proxy voting matters, Susy continues to advocate for improvements in the voting system and will continue to advise her clients on the many pitfalls that await uninformed Issuers when it comes to voting of proxies of Canadian companies. Susy has also provided testimony as an expert witness when called upon to explain to the judiciary the inner workings of the Canadian proxy system.
Susy completed the Trust Companies Institute Program and is a member of Women in Capital Markets (WCM), Canadian Investor Relations Institute (CIRI) and Governance Professional of Canada (GPC).
Mike is Senior Vice President of Gryphon and is responsible for business development and client relationships, primarily in Western Canada.
Based in Calgary, Mike has over 30 years of experience in the corporate financial services industry. He has built a strong network of contacts in the Capital Markets and is seen as a reliable source of knowledge by the Issuer community regarding shareholder communications including proxy related matters, AGMs and M&A transactions.
As a member of the Canadian Investor Relations Institute and Governance Professionals Canada, Mike has been a long serving member of the Calgary chapters of both organizations. In his previous senior role at a national competitor, Mike was involved in some of the largest M&A transactions and proxy fights.
Mike has completed the Trust Companies Institute educational program as well as the Canadian Securities Course.
Marcus is the Senior Vice President, Strategy and Operations at Gryphon. Marcus has a wealth of experience in corporate finance with a passion for advising clients on matters pertaining to proxy solicitation, corporate governance, mergers and acquisitions and shareholder activism in Canada, the U.S. and globally.
Marcus has acted as operational lead providing clients with strategic consultation on some of the highest profile proxy fights and transactions in Canada, including Agrium’s successful board defense against Jana Partners, BCE Inc.’s $4 billion dollar acquisition of Bell Aliant Inc., Suncor Energy’s $6.6-billion takeover of Canadian Oil Sands, as well as most recently Cation Capital’s successful agitations at Crescent Point Energy.
In addition to Marcus’ vast experience in the proxy solicitation and mergers and acquisitions arenas, Marcus has strong ties and relationships within the institutional and retail investor community and is a trusted point of contact for sourcing critical intelligence from an Issuer’s shareholder base.
Prior to joining Gryphon, Marcus acted as Vice President, Operations at D.F. King Canada.
Grace has approximately to three decades of financial services industry experience including expertise in proxy solicitation, shareholder identification and information agent services. Grace has worked on a number of high profile deals in North America involving proxy fights, annual and special shareholder meetings and complex M & A transactions. She has in-depth knowledge of solicitation strategies for shareholder meetings, tender offers and corporate governance issues as well as client management and servicing, voting process, and investor communication. In addition, Grace has strong relationships within the institutional and retail investor community along with various financial intermediaries.
Prior to joining Gryphon, Grace was Vice President, Operations at D.F. King. She has extensive experience in financial advisory services and equity research following her employment with BNP Paribas Securities and ABN AMRO Securities.
Grace holds a Bachelor of Statistics degree from the University of the Philippines. She completed the Canadian Securities Course and is a member of Women in Capital Markets (WCM).
Nathaniel holds the Director, Analytics and Operations position at Gryphon.
With over ten years of capital markets experience, Nathaniel has served in supporting the management team in traditional proxy solicitation related campaigns, as well as highly contentious M&A transactions and proxy contests.
In addition to his strengths in stock surveillance, data analytics and info design, Nathaniel also plays a key role in managing the firm’s relationships with transfer agents, Broadridge, the Canadian Depositary for Securities and a variety of Street-name brokers, while specializing in research and the analysis of a clients’ shareholder base.
Prior to joining Gryphon, Nathaniel was a Senior Analyst with D.F. King Canada.
Victor is the President of Frontline Advisors Inc. Victor is responsible for the North American Business where he leads a team of experienced governance professionals.
Victor has over a decade of capital market experience where he established himself as an expert in corporate governance advisory work with an in depth focus on shareholder activism, M&A and executive compensation. Prior to joining Frontline Advisors Inc., Victor was Executive Vice President, Governance Special Situations at Kingsdale Advisors where he was involved in more than 50 contested situations and devised sophisticated governance strategies for both corporate and activist clients. His high-profile signature wins include FrontFour & Sandpiper in their action against Granite REIT and Crescent Point in their defense against Cation Capital. He also provided expert analysis and practical solutions to corporate clients on their corporate governance and executive compensation strategies.
Prior to Kingsdale, Victor was Vice President of M&A and Proxy Contest Research for Institutional Shareholder Services Inc.’s (“ISS”) U.S. and Canadian research teams where he covered and provided vote recommendations to institutional clients for over 80 North American proxy contests as well as more than 1000 M&A transactions. He also opined on a number of high-profile say-on-pay votes during his 5-year tenure at ISS. Victor led the Canadian M&A group/division team at ISS Canada, where he assembled and trained the M&A research team.
Victor holds an MBA in Finance and Blue Ocean Strategy from INSEAD and a Bachelor of Commerce degree (Double Specialist in Commerce & Finance and Economics, Minor in Mathematics) from the Rotman School of Management at the University of Toronto. Victor is a CFA charterholder.
Jackie is a Senior Vice President, Governance at FrontLine Advisors Inc.
Over the past six years, Jackie built his practice specializing in complex shareholder matters related to corporate governance, shareholder rights, executive compensation and proxy contests. As an expert in compensation-related shareholder matters, Jackie has advised on the most high-profiled Say-on-Pay turn-around situations in Canada. Having assessed countless Say on Pay and equity plan proposals, his pragmatic and creative approach to assisting companies on navigating the complexities of the proxy advisory firm landscape has resulted in the effective execution of numerous tailored shareholder engagement campaigns that have led to successful shareholder meetings.
As an experienced practitioner in the shareholder activism space, Jackie has advised on over 40 Canadian contested situations. He has represented both activist shareholders or corporate Issuers in some of the largest proxy contests in Canada, including but not limited to Crescent Point Energy’s defense against Cation Capital and FrontFour Capital Group/Sandpiper Group’s successful dissident campaign against Granite REIT.
Prior to joining FrontLine Advisors Inc., Jackie was a Vice President, leading the governance advisory team at Kingsdale Advisors Inc. He was also formerly a member of the Canadian executive compensation team at Towers Watson Canada.
Jackie holds a Bachelor of Business Administration degree from the Schulich School of Business.
